Scalexis is a digital marketing agency based in Nagpur, India. We help businesses with paid advertising, SEO, AEO, GEO, social media marketing, performance marketing, reporting, and related digital growth services.

In these Terms & Conditions, "Scalexis", "we", "us", and "our" refer to Scalexis. "You", "your", "visitor", "client", or "user" refers to any person or business accessing this website, submitting an enquiry, or engaging our services.

2. Acceptance of These Terms

By accessing our website, submitting a form, booking a consultation, communicating with us, or using our services, you agree to these Terms & Conditions and our Privacy Policy. If you do not agree, please do not use this website or submit your personal information.

Any service proposal, statement of work, quotation, invoice, purchase order, email approval, or signed agreement between you and Scalexis may include additional commercial terms. If there is a conflict, the specifically agreed written commercial terms will apply to that engagement.

You are responsible for providing accurate contact details, business information, and campaign context. We may decline or stop communication if we believe an enquiry is unlawful, misleading, abusive, conflicting, or unsuitable for our services.

5. Services and Scope of Work

Scalexis may provide digital strategy, paid ads management, search optimization, social media planning, content direction, performance marketing, analytics review, campaign optimization, landing page guidance, and reporting support.

The exact scope, deliverables, timelines, approvals, fees, payment schedule, ad budgets, tools, access requirements, and responsibilities will be confirmed separately in writing before paid work begins.

6. No Guaranteed Marketing Results

We work to improve marketing clarity, execution, and ROI, but digital marketing results depend on many factors outside our full control, including your offer, pricing, sales process, website experience, market demand, competition, ad platform changes, search algorithm changes, customer behavior, tracking quality, and budget.

Unless explicitly stated in a signed written agreement, Scalexis does not guarantee rankings, leads, sales, revenue, return on ad spend, follower growth, conversions, or any specific business outcome.

7. Client Responsibilities

For smooth execution, clients are responsible for:

• sharing accurate business, product, pricing, audience, compliance, and campaign information;
• providing timely approvals, feedback, access, assets, and credentials where required;
• ensuring that claims, offers, testimonials, pricing, and advertisements are lawful and accurate;
• maintaining active access to ad accounts, analytics tools, websites, domains, landing pages, and payment methods;
• complying with Google, Meta, LinkedIn, search engine, marketplace, and other third-party platform policies; and
• ensuring that any customer data shared with Scalexis is collected and shared lawfully.

8. Fees, Payments, and Ad Spend

Fees, taxes, payment schedules, retainers, project charges, and refund terms will be communicated separately in writing. Advertising spends, media budgets, third-party tool costs, domain fees, hosting charges, software subscriptions, creative production expenses, and similar third-party costs are separate from Scalexis service fees unless clearly stated otherwise.

Late payments may lead to pause or suspension of services. Any applicable taxes will be charged as required under Indian law.

9. Intellectual Property

The Scalexis website, logo, visual style, copy, layouts, graphics, strategy frameworks, process documents, and original materials are owned by Scalexis or used under valid permission. You may not copy, reproduce, distribute, or commercially exploit them without written consent.

Client-provided logos, brand assets, product images, business information, website access, and customer materials remain the property of the client or their respective owners. You confirm that you have the right to share these materials with Scalexis for service delivery.

Ownership of final deliverables, editable files, campaign accounts, creative assets, or strategic documents will be governed by the specific written scope agreed for that project.

10. Portfolio and Case Study Use

Unless you request otherwise in writing, Scalexis may refer to your brand name, public campaign work, general project type, and non-confidential outcomes in portfolios, proposals, case studies, social media, or sales conversations. We will not publish confidential numbers, internal data, or sensitive information without permission.

11. Third-Party Platforms and Tools

Our work may involve third-party platforms such as Google, Meta, LinkedIn, analytics tools, search engines, hosting providers, email tools, spreadsheets, automation tools, and advertising networks. These platforms have their own terms, policies, review systems, billing rules, availability, and data practices.

Scalexis is not responsible for platform downtime, account restrictions, ad disapprovals, algorithm changes, policy updates, billing issues, tracking outages, or third-party decisions outside our control.

12. Confidentiality

We will take reasonable care to protect non-public business information shared with us for service delivery. You agree to treat Scalexis proposals, strategy documents, pricing, internal processes, and unpublished materials as confidential unless they are already public or we provide written permission.

13. Website Content and Information

The content on this website is for general business and marketing information. It should not be treated as legal, financial, tax, accounting, or investment advice. You should consult qualified professionals before making decisions that require specialist advice.
